9. Payment Terms

Payment terms for professional services are established in individual service agreements. Unless otherwise specified in writing: invoices are due net 30 days from date of issuance; late payments accrue interest at 1.5% per month; disputed invoices must be raised in writing within 10 days of receipt.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Leon County, Florida for any disputes arising under these Terms.

11. Dispute Resolution

Prior to initiating any legal action, the parties agree to attempt good-faith resolution of any dispute through direct negotiation for a period of not less than 30 days. If unresolved, disputes shall be submitted to binding arbitration in Tallahassee, Florida under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.
